Blüm Holdings Signs Agreement to Acquire Northern California Retail Dispensary
California-based public cannabis company, Blüm Holdings (OTC:BLMH), announced a binding agreement to acquire a majority stake in a licensed adult-use and medical cannabis dispensary in Northern California. This move is part of Blüm’s broader strategy to expand its retail footprint across the state. The new acquisition will join Blüm’s existing portfolio of three Northern California stores and a recently acquired Bay Area outlet.
The deal is structured entirely in stock, valuing the dispensary at up to $5 million, including performance-based earn-outs tied to revenue and EBITDA milestones. Starting July 1, 2025, Blüm will begin operational integration through a Management Services Agreement, overseeing areas such as compliance, accounting, finance, and marketing.
This acquisition highlights Blüm’s progress in its turnaround efforts, driven by disciplined growth, operational efficiency, and a strong retail brand presence. The company aims to partner with operators who bring community insight, cultural fit, and a history of performance.
Carrillo acknowledged the collective support from shareholders, advisors, and team members, calling the deal a shared achievement. The transaction is expected to close in Q3 2025, subject to final agreements and regulatory approvals.
